Licence Agreement

This agreement is between you and Polychrome Limited (a New Zealand company, number 2214919, “we” or “us”). It covers our Windows apps ClearCull, Shrinkr and ClearSnap (each an “app”), including updates, and the licence keys for them.

By installing or using an app, or by buying a licence, you agree to this agreement. If you’re agreeing for a business, you’re agreeing on its behalf. If you don’t agree, don’t install or use the apps.

1. Your licence

  • Free trial. You may use each app free for its trial period (14 days unless the app says otherwise) to decide whether it suits you.
  • Paid licences. A licence is for one person: the person whose email address it’s linked to. That person may install and use the app on computers they use. A licence can’t be shared between people or resold. To move a licence to someone else, get in touch.
  • Yearly licences (ClearCull) run for one year from when the key is made. When it ends, the app may stop working fully until the licence is renewed.
  • Lifetime licences (Shrinkr and ClearSnap) don’t expire. They aren’t a subscription: there’s nothing more to pay. They cover the app for as long as we make it available for current versions of Windows. They aren’t a promise of future versions or features.
  • The apps are licensed, not sold. We (and our suppliers) keep all rights in them that this agreement doesn’t give you.

2. What you mustn’t do

You mustn’t:

  • copy, share or publish licence keys, or make or use keys that we didn’t issue
  • get around the licence checks or the trial
  • reverse engineer, decompile or change the apps, except as far as New Zealand law allows despite this
  • rent, sell or lend the apps, or use them to provide a paid service to others where only you hold a licence
  • use the apps for anything unlawful

If you break these terms, we may end your licence by telling you, and you must then stop using the app.

3. Updates and internet use

The apps check polychromenz.com now and then for updates and may install them. Updates are covered by this agreement. See our Privacy Policy for how we handle personal information, such as the email address a licence is linked to.

4. Refunds

If you change your mind, ask within 14 days of buying and we’ll refund the licence in full, no questions asked. Once refunded, you must stop using that licence and delete its key. This is in addition to your rights under New Zealand consumer law (section 6).

5. Your photos and files

The apps work with your photos and files, and some of them move, rename, convert or delete files when you ask them to. Keep backups of anything that matters. Check the results before deleting originals. We aren’t responsible for files you lose through using the apps, except as section 6 says.

6. Your rights under New Zealand law

If you’re buying as a consumer, you have rights under the Consumer Guarantees Act 1993 and the Fair Trading Act 1986 that can’t be taken away. Nothing in this agreement limits those rights.

If you’re buying or using the apps for the purposes of a business, you agree that the Consumer Guarantees Act doesn’t apply. You also agree that sections 9, 12A, 13 and 14(1) of the Fair Trading Act don’t apply, as far as the law allows. You and we agree this is fair and reasonable.

7. No other promises

The apps are provided “as is”. As far as the law allows, we give no promises about them beyond those in this agreement and those the law requires. In particular, we don’t promise they’re fault-free, will always be available, or suit a particular purpose.

8. Limit of our liability

As far as the law allows:

  • our total liability to you for anything to do with the apps or a licence, whether in contract, negligence or otherwise, is limited to refunding the price you paid for the licence concerned. If you used the app without paying (for example, during the trial), it’s limited to NZ$1
  • we aren’t liable for any indirect or consequential loss, or for loss of data, files, profits, business or time

Where we’re liable to a consumer under the Consumer Guarantees Act, this section doesn’t take away the remedies that Act gives.

9. General

  • This agreement is governed by New Zealand law, and the courts of New Zealand have exclusive jurisdiction.
  • We may update this agreement. The new version applies to licences bought, and app updates installed, after it’s published here. The date at the bottom shows when it last changed.
  • If any part of this agreement can’t be enforced, the rest still applies.
  • This agreement, with what you saw when you bought your licence, is the whole agreement between us about the apps.
